This is an English courtesy translation. The Spanish version of these Terms is the legally binding one under Mexican law.

1. Acceptance of the Terms

These Terms and Conditions (the “Terms”) govern access to and use of the website ecoalarife.com (the “Site”) and of the services, content and products offered by Verum by Alarife S.A. de C.V., a company with address at Viveros de Tlalnepantla 46, Colonia Viveros de la Loma, C.P. 54080, Tlalnepantla de Baz, State of Mexico, Mexico, operating under the trade name “ecoAlarife” (hereinafter “ecoAlarife”, “the Company” or “we”).

By accessing the Site, contacting us, or acquiring any of our services or products, you (the “User”) declare that you have read, understood and accepted these Terms. If you do not agree, you must refrain from using the Site.

2. Definitions

  • Site: the website ecoalarife.com and its subdomains or sections.
  • Services: the design, implementation, consulting, training and operation of self-sustaining farms, tech-enabled fields, artificial intelligence applied to farming, tech-enabled cabins, and any other services ecoAlarife may offer.
  • Digital products: downloadable or online-access materials, in particular the “ecoAlarife Brief”, a community knowledge dossier.
  • Tribe: the community of people who collaborate and share knowledge within the ecoAlarife project.

3. Purpose and scope of the Site

The Site is intended for informational and commercial-contact purposes. Information about Services (descriptions, scope and examples) is general in nature and does not constitute a binding offer. Any engagement of Services is formalized through a proposal, quote or specific contract agreed in writing between ecoAlarife and the User.

4. Services

Quotes are valid for the period indicated in each case and may vary depending on land characteristics, project scope, material availability and other factors. Final timelines, deliverables and prices are set out in the corresponding proposal or contract. Results described on the Site are illustrative and do not represent a guarantee of yield, output or return for a specific project, as they depend on factors beyond ecoAlarife’s control (climate, soil, the User’s operation, among others).

5. Digital products — the “ecoAlarife Brief”

The ecoAlarife Brief is a digital product available for online access or download. Upon purchase, ecoAlarife grants you a personal, non-transferable and non-exclusive license to consult it for your own purposes. Its reproduction, redistribution, resale, publication or making available to third parties, in whole or in part, by any means, is prohibited without ecoAlarife’s prior written authorization.

Nature of the product: because this is digital content with immediate access, by completing the purchase the User acknowledges that the product is delivered in full and gives express consent to this. See the refund policy in section 7.

6. Prices and payments

Prices for Digital products are shown in Mexican pesos (MXN) and include applicable taxes unless otherwise stated. Payments are processed through the Mercado Pago platform; ecoAlarife does not store your full card or payment-method details, which are handled by that platform under its own terms and policies. Tax receipts (CFDI) are issued upon the User’s request with the tax details provided.

7. Cancellations and refunds

Digital products: since the ecoAlarife Brief is digital content with immediate access, once payment is completed and access is enabled no refund applies, except in the case of a technical failure attributable to ecoAlarife that prevents access and cannot be resolved within a reasonable time. In that case, write to contacto@ecoalarife.com describing the problem.

Services: the terms for deposits, cancellations and refunds of Services are governed by what is agreed in the specific proposal or contract for each project.

The foregoing is without prejudice to the rights granted to the User under the Mexican Federal Consumer Protection Law (Ley Federal de Protección al Consumidor).

8. Intellectual property

The “ecoAlarife” brand, trade name, logos, text, images, designs, code, methodologies and other content of the Site and of the Digital products are owned by Verum by Alarife S.A. de C.V. or used under license, and are protected by applicable intellectual and industrial property law. No content of the Site may be copied, modified, distributed or exploited without prior written authorization, except for the personal, non-commercial use these Terms permit.

9. Permitted use and prohibited conduct

The User agrees to use the Site in accordance with the law, public morals and these Terms. In particular, the User shall refrain from:

  • Using the Site or Digital products for unlawful or unauthorized purposes.
  • Attempting to breach the security of the Site, its servers or systems.
  • Reproducing or redistributing protected content without authorization.
  • Impersonating third parties or providing false information.
  • Engaging in conduct that damages, overloads or impairs the Site or other users’ experience.

10. Links and third-party content

The Site may contain links to third-party sites or services (for example WhatsApp, Mercado Pago, Meta or Google). ecoAlarife does not control and is not responsible for the content, policies or practices of such third parties, whose own terms and privacy notices govern their use.

11. Community (“the tribe”) and waitlist

Participation in the tribe, waitlists and open calls is by invitation and at ecoAlarife’s discretion. Registering interest does not guarantee admission or the provision of a service. Knowledge shared within the community is offered “as is”, for informational purposes, and does not replace professional advice for a particular case.

12. Limitation of liability

The Site and its content are provided “as is” and “as available”. To the maximum extent permitted by law, ecoAlarife shall not be liable for indirect, incidental or consequential damages arising from the use of, or inability to use, the Site or the information contained in it. Nothing in these Terms limits liabilities that cannot be excluded under applicable law.

13. Privacy

The processing of the User’s personal data is governed by our Privacy Notice, which forms an integral part of these Terms.

14. Modifications

ecoAlarife may modify these Terms at any time. The version in force will always be the one published at ecoalarife.com/en/terms, with its last-updated date. Continued use of the Site after a modification implies acceptance of the Terms then in force.

15. Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For their interpretation and performance, the parties submit to the jurisdiction of the competent courts of Tlalnepantla de Baz, State of Mexico, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile, without prejudice to the non-waivable rights granted to the User as a consumer under the Mexican Federal Consumer Protection Law.
